ExecEdge Program โ€“ Terms and Conditions

These Terms and Conditions constitute a legally binding agreement between you (the "Participant" or "Client") and HireVeda LLP, governing your access to and participation in the ExecEdge program. By enrolling in, paying for, or participating in the Program, you confirm that you have read, understood, and agreed to these Terms.

1. Definitions

1.1 "Program" or "ExecEdge" refers to the ExecEdge career transition system offered by HireVeda LLP, including all services, resources, content, communication support, platform access, and guidance provided therein.

1.2 "Participant" or "Client" refers to the individual availing services under the Program.

1.3 "Enrollment Date" (also the "Confirmation Date") refers to the date on which the Participant confirms enrollment and pays the Program Fee. Program validity under Section 3 is calculated from this date.

1.4 "Cohort" refers to the closed group of Participants, with a common published start date, into which a Participant enrolls. Each Cohort holds a limited number of seats.

1.5 "Cohort Start Date" (also "Day 0") refers to the published start date of the Participant's Cohort. All refund timelines under Section 5 are counted from Day 0.

1.6 "Program Fee" refers to the total programme fee paid by the Participant for the Program, excluding applicable taxes.

1.7 "Withdrawal Request" refers to a written request to withdraw from the Program, submitted in accordance with Section 5.

1.8 "Outreach Enablement" refers to any communication or messaging support provided via the Executive Platform, third-party platforms, email tools, or templates, executed with Participant knowledge and consent, and sent from the Participant's own email address.

1.9 "Executive Platform" or "Communication Tools" refers to the proprietary outreach CRM and any platforms used for email outreach, analytics, tracking, or CRM in connection with the Program.

2. Nature and Scope of Services

2.1 ExecEdge is a premium, non-placement, non-recruitment service. It is a high-touch, research-driven system designed to support career strategy, professional positioning, and proactive outreach for senior career transitions. The Program runs over a sixteen-week active structure comprising a Foundation Phase and three sprints.

2.2 Services may include, but are not limited to:

  • A structured self-reflection exercise and a research-backed market calibration of the Participant's profile.
  • Positioning and targeting strategy, locked in a live Goal-Setting Session with a Program Guide.
  • Build of outreach collateral, including resume, LinkedIn profile, email campaign templates, a company research framework, and a personal network activation plan.
  • Research mapping of target companies and decision-makers across the Program, up to sixty companies across three sprints.
  • Outreach enablement and follow-up support via the Executive Platform, with all messages sent from the Participant's own email address.
  • Up to three dedicated check-ins with a Program Guide, and day-to-day support from a Program Manager and research team.
  • Interview Strategy Briefs prepared for scheduled conversations, periodic job board monitoring, and inclusion in HireVeda's monthly candidature showcase.

2.3 The intended outcome of the Program is meaningful conversations with relevant decision-makers. Participation does not constitute a job guarantee, direct placement, interview scheduling, or employment brokerage.

2.4 The Program does not include soft-skill coaching, mock interviews, networking events, alumni introductions, or done-for-you outreach. Every outreach message is reviewed and approved by the Participant before it is sent. Interview support is research-based.

2.5 The Program is time-bound and outcome-dependent on the Participant's timely and active engagement.

3. Program Validity and Scope

3.1 The Program is valid for six months from the Enrollment Date. The sixteen-week active program runs for approximately four months, with a natural buffer built in for real-life pacing.

3.2 A two-month extension is available on request, subject to an extension fee of Rs. 15,000 plus applicable GST, where additional time is needed beyond the six-month window. Extension fees are non-refundable.

3.3 A hard expiry applies at eight months from the Enrollment Date, after which the engagement closes with no further scope of extension.

3.4 All services, consultations, and deliverables must be availed within the applicable validity period. Any unused sessions or services will lapse at the end of the period, with no carry-forward and no refund.

3.5 Where a Participant has been inactive for six or more consecutive weeks, the program team will issue a formal notice confirming the remaining validity and the steps required to reactivate.

4. Cohort Enrollment and Seat Reservation

4.1 ExecEdge runs in closed cohorts. Each Cohort holds a limited number of seats, and intake is capped once the Cohort is full.

4.2 When a Participant confirms a seat, that seat is reserved for them and is withdrawn from others on the waitlist. Substantial preparatory work, including market calibration and initial positioning and targeting, begins before the Cohort Start Date.

4.3 The refund terms in Section 5 reflect this reserved-seat model and the work delivered over time.

5. Fees, Payment Terms, and Refund Policy

5.1 Program Fees are payable in advance. Payment confirms the Participant's enrollment, reserves the Cohort seat, and constitutes commitment to the Program duration and scope.

5.2 A Participant may withdraw from the Program by submitting a written Withdrawal Request by email to rijas@hireveda.com. The effective date of withdrawal is the date the written request is received. The applicable refund tier is determined solely by this date, measured against the Cohort Start Date (Day 0), and is not subject to negotiation.

The retained amount reflects the reserved Cohort seat and the cost of services delivered up to the point of withdrawal. Before Day 0, the seat may still be offered to the waitlist, so the retention is limited. Once the Cohort has started, the seat cannot be reassigned, and the retention rises accordingly.

5.4 Refunds are calculated as the stated percentage of the Program Fee. Where GST or other taxes were charged in addition to the Program Fee, the refund of such taxes is subject to applicable tax rules. Approved refunds are processed to the participant's account within 15 business days of approval.

5.5 In place of a refund, a Participant may instead choose one of the following at any stage, including after Day 30:

  • Program Hold: pause the Program for up to six months from the Program Start Date.
  • Program Transfer: transfer the enrollment to another eligible individual, subject to a nominal transfer fee.

5.6 Notwithstanding the above, where the Program is terminated for breach of these Terms, including under the Non-Disparagement and Termination clauses, no refund of any kind shall apply, regardless of timing.

6. Outreach Enablement and Limitation of Liability

6.1 If the Participant opts for Outreach Enablement, messages may be dispatched via the Executive Platform and Communication Tools using Participant-approved content, name, and professional identity, and sent from the Participant's own email address.

6.2 HireVeda disclaims any liability for:

  • Formatting errors, incorrect merge tags, email personalization failures, or bounced messages.
  • Non-responsiveness from recipients or companies.
  • Any real or perceived damage to the Participant's professional reputation.

6.3 The Participant confirms that all content shared via outreach has been reviewed and approved by them, and that they are the sender of record for all such communications.

6.4 While we use industry-standard QA protocols, the Participant understands that technological errors may occur and waives all claims against HireVeda for damages arising from such events.

7. Intellectual Property Rights

7.1 All content, templates, research outputs, documents, communication structures, AI flows, and proprietary frameworks created, customized, or provided as part of the Program are and shall remain the exclusive intellectual property of HireVeda LLP.

7.2 The Participant is granted a non-transferable, non-exclusive, limited right to use such materials solely for personal, non-commercial career advancement.

7.3 The Participant agrees not to record, reproduce, distribute, sublicense, resell, or create derivative works based on the Program materials, in whole or in part, without explicit prior written consent.

8. Non-Disclosure and Confidentiality

8.1 The Participant agrees to maintain in strict confidence all Program-related information, processes, tools, internal research databases, pricing, templates, and deliverables.

8.2 Any form of content sharing, distribution, or public referencing of the Program structure, backend tools, or confidential communications without prior written authorization constitutes a material breach.

9. Privacy and Data Protection

9.1 HireVeda adheres to reasonable standards of data protection under applicable Indian laws.

9.2 By enrolling in the Program, the Participant consents to:

  • Processing of personal and professional data for execution of Program services.
  • Use of third-party tools and cloud-based infrastructure for data handling.
  • Analytics-based tracking of email engagement, outreach effectiveness, and open and click metrics.

9.3 HireVeda shall not be held liable for incidental data leaks caused by third-party tools or force majeure.

10. Non-Disparagement

10.1 The Participant agrees that they shall not make, publish, or circulate any false, misleading, defamatory, disparaging, or damaging remarks, whether publicly or privately, about HireVeda LLP, its programs, team members, associated companies, or participants.

10.2 In the event of a breach of this clause, HireVeda reserves the right to pursue legal remedies under applicable civil and cyber laws, seek damages, cease and desist orders, and takedown notices, and terminate services with immediate effect, without refund.

11. Disclaimer of Warranties

11.1 HireVeda makes no express or implied representations, guarantees, or warranties regarding:

  • Shortlisting by companies.
  • Interviews, job offers, or employment outcomes.
  • Specific ROI or time-bound placement.

11.2 The Participant acknowledges that career success is influenced by numerous factors outside the scope of the Program, including but not limited to macroeconomic conditions, hiring trends, competition, and individual background.

12. Termination

12.1 HireVeda may suspend or terminate Program access if the Participant:

  • Engages in misconduct, abuse, or breach of these Terms.
  • Displays unethical or disruptive behavior.
  • Discloses confidential content or damages the brand.

12.2 Where the Program is terminated under this clause, no refund or partial refund shall be applicable, and the refund schedule in Section 5 shall not apply.

13. Limitation of Liability

13.1 Under no circumstances shall HireVeda LLP, its partners, employees, agents, licensors, or affiliates be liable for:

  • Any indirect, incidental, special, punitive, or consequential damages.
  • Loss of opportunity, goodwill, data, or reputation.
  • Errors in messaging or automation arising from third-party tools.

13.2 The aggregate liability of HireVeda shall not exceed the amount actually paid by the Participant for the Program.

14. Force Majeure

14.1 HireVeda shall not be liable for any failure or delay in the performance of its obligations due to causes beyond its reasonable control, including but not limited to war, strike, pandemic, lockdown, power outage, internet failure, or third-party software failure.

15. Governing Law and Jurisdiction

15.1 These Terms shall be governed by and construed in accordance with the laws of India.

15.2 Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts at Jamshedpur.

16. Modification of Terms

16.1 These Terms may be updated periodically, and any material changes will be communicated via email or platform notification.

16.2 Continued usage of the Program constitutes acceptance of the modified Terms.
